Disclaimer:
IPO Wallet does not provide virtual asset management services or any financial services, nor does it provide advisory, intermediary, brokerage or agency services. Virtual asset services are provided to IPO Wallet customers by third-party service providers whose operations and services are beyond the control of IPO Wallet. We strongly encourage all IPO Wallet customers to familiarize themselves with the terms and conditions of third-party virtual asset service providers before engaging in a business relationship with them.
We also note that IPO Wallet is not the creator of, and has no control over, any of the virtual currencies the IPO Wallet application allows IPO Wallet customers to use. IPO Wallet customers' balances and actual transaction history are maintained by the individual blockchain researchers of each cryptocurrency. IPO Wallet does not collect or store private keys, backup phrases or passwords. In addition, IPO Wallet does not store, collect or transfer any assets from or to its customers' wallets in any form.
By downloading the IPO Wallet application and browsing the website, you acknowledge that:
(1) any use of IPO Wallet is subject to these Terms of Service;
(2) you have carefully read, understood and agree to these Terms of Service;
(3) you are of legal age and can enter into legally binding contracts.
If you do not agree to the Terms of Service (“Terms”), you may not use IPO Wallet. IPO Wallet reserves the right to change these Terms at any time and in its sole discretion. In the event of any changes, we will change the date of the last update at the end of these Terms. Please check this page regularly for updates.
1. Parties
1.1 This agreement is between you (“you” or “your”) and EWS Technology LTD. (“IPO Wallet”), registration code 16299589, 86-90 Paul Street London, EC2A 4NE.
IPO Wallet is a blockchain platform consisting of a suite of desktop and mobile applications (the “Software”) and a website at https://ipowallet.app/. We refer to all services provided by IPO Wallet herein as the “Services”.
1.2 It is your own responsibility to read the Terms of Service carefully before using IPO Wallet.
2. Definitions and Services offered
IPO Wallet is an innovative cryptocurrency infrastructure that consists of:
2.1 IPO Wallet Applications.
IPO Wallet has created a means for users to access and transfer ownership of virtual currency tokens (“Cryptocurrency”) such as Bitcoins. By entering into this agreement, you are licensed to use any of the IPO Wallet Applications. You should only use the IPO Wallet application if you are familiar with cryptocurrencies. We strongly recommend that you learn the basics of cryptocurrency before launching the app.
2.1.1 You own your private keys
IPO Wallet does not store your private keys, backup phrases or passwords (“Private Information”) on its servers. It is very important that you back up and store your Private Information. We strongly recommend that you write down your backup phrase and store it in two different locations offline. If you lose your Personal Information, IPO Wallet will not be able to recover it for you and you may lose access to your virtual currencies. IPO Wallet does not have access to your wallet, your funds, your transactions or any other information. If you do not understand the above point, we strongly recommend that you learn more about virtual currencies before using IPO Wallet applications. If you do not maintain a backup of your IPO Wallet data outside of the Services, you will not be able to access the virtual currency associated with your Wallet.
2.1.2 Transactions
The only trusted record of Virtual Currency transactions is the blockchain. IPO Wallet applications provide functionality that allows you to send Virtual Currency transfer instructions. IPO Wallet does not guarantee that your transactions will be delivered, as your transactions from the IPO Wallet Applications must be added and stored on the blockchain. You must ensure that your transactions comply with the applicable rules of the virtual currency software. There may be fees (e.g., mining fees) associated with your virtual currency transactions as provided by the virtual currency system. IPO Wallet is not liable for any losses you incur due to transaction fees or losses that result from improperly set transaction fees (i.e., too low or too high). IPO Wallet does not have access to your (or anyone else's) transactions.
2.1.3 Lack of control over the blockchain
IPO Wallet is not the creator of and has no control over any of the virtual currencies that the IPO Wallet application allows you to use.
Your balance and actual transaction history is maintained by each cryptocurrency blockchain explorer (e.g. https://btgexplorer.com/, https://etherscan.io/, etc.). All cryptocurrency rates available in the app are maintained by https://coinmarketcap.com/ and https://www.cryptocompare.com/.
2.1.4 Third Party Integrations
The IPO Wallet application contains libraries developed by third parties. IPO Wallet may provide third-party libraries to you as part of the IPO Wallet solution, but is not considered an owner or licensor of the third-party libraries. Third party services are used for Wallet virtual currency exchange transactions and Wallet virtual currency purchase transactions. IPO Wallet reserves the exclusive right to add, modify or cancel the availability of any Third Party Service.
2.2 In-Wallet Exchange Transactions.
By using an in-wallet exchange (“IPO Exchange”), you agree to the Terms of Use of the applicable Third Party Partner. Please review and abide by the applicable third party licenses: The embedded IPO Exchange is provided by ChangeNOW,Cryptomus and not by IPO Wallet itself. The original Terms of Use are available at https://changenow.io/terms-of-use for ChangeNOW and https://cryptomus.com/ru/tos for Cryptomus. Although IPO Wallet applications facilitate your interaction with integrated third parties, IPO Wallet is not responsible for any consequences associated with your use of integrated third party services. If you need assistance with a third-party integration, you should contact that third-party integration and also contact our support team.
The estimated amount presented to you in the Wallet prior to making an exchange is not final. It may differ from the final amount due to market fluctuations.
2.2.1 By using the in-wallet service to buy cryptocurrencies (the “IPO Buying Crypto Service”), you agree to the Terms of Use of our third party partners Simplex and Cryptomus, who provide the IPO Buying Crypto Service.

Simplex and Cryptomus payment processing is subject to the policies of local banks. Issuing banks may reject payment on their own terms. 2.3 Earn IPO Coin Program.
By activating the Earn IPO Coin service you become a Lessor and give permission to the IPO network to use your address and transfer access to it and the network to third parties (other members of the IPO network) and in return you receive remuneration in the form of IPO cryptocurrency. The reward is multiplied depending on how long your connection lasts and its maximum value is multiplied by 10X. IPO Wallet is not responsible for the quality of your internet connection and any interruptions to the servers. You also waive any claims against IPO Wallet for the actions of third parties that rented your IP address.
2.3.1 Expend IPO Coin Rental Program.
By participating in the Expend IPO Coin program you are granted the status of a Renter and you are granted access to the IPO network and the IP address of your choice, to which you pay a fee according to the rental rates. IPO Wallet is not responsible for the quality of the Internet connection between the connection: Lessor - IPO Network Servers - Lessee. By activating the service you confirm that you are personally responsible for all your Internet activities from the address and network of the Lessor. You undertake not to violate the laws of your chosen IP address IPO Network IP address lease country. You accept the agreement made by the Lessee with the provider of its Internet connection section of the rules of use of the Internet provider's network, as well as assume all responsibility and consequences and losses caused by your actions.
3. Your Obligations
You must:
Be of legal age in your local jurisdiction;
and,be responsible for your own Virtual Currency;
and,back up/record your Private Key and Backup Phrase and keep them confidential;
and,carefully safeguard your Private Key and Backup Phrase when using the IPO Wallet applications;
and,ensure that your device(s) are fully updated and free of viruses, malware or other harmful software.
You must not:
violate any laws when using the IPO Wallet Applications;
or, circumvent or attempt to circumvent the security measures used by IPO Wallet to protect other accounts, computer systems or networks connected to the IPO Wallet Applications;
or, deposit Virtual Currency to token and/or coin addresses that are not supported by the IPO Wallet Applications;
or,use IPO Wallet in a manner that may cause disruption to other IPO Wallet users or Virtual Currency hosts (e.g., excessive API calls or network spam);
4. Limited License to Intellectual Property
This agreement grants you a license to the IPO Wallet services on a personal, non-exclusive, royalty-free, non-transferable basis for the purpose of managing virtual currency. You are not permitted to redistribute any IPO Wallet services, modify any code, or use any IPO Wallet content, including images and text, as part of any other software or project of any kind.
5. Specific risks
The use of virtual currency software inevitably involves many risks. IPO Wallet specifically disclaims and shall not be liable to you for the following risks:
operating system (mobile or desktop) failures;
and,interactions between your hardware, software and IPO Wallet;
and,cloud backup software (such as certain Android distributions) may upload your private information to third party services;
and,malware, viruses or other malicious software on your device that may take control of or interfere with IPO Wallet;
and,communication delays between your IPO Wallet desktop and mobile application and the virtual currency relay host or service (and vice versa);
and,failure to achieve a certain market value/price for a virtual currency token, whether through a third-party service or any other type of transaction; and, theft of virtual currency tokens.
6. No Warranty
IPO Wallet is provided to you free of charge, “as is” and without warranty of any kind, to the fullest extent permitted by law. Without limiting the generality of the foregoing, IPO Wallet does not warrant that IPO Wallet is suitable for your purposes, even if you have given prior notice of your purposes, and does not warrant that IPO Wallet will be error free.
7. Limitation of Liability
IN NO EVENT WILL IPO WALLET BE LIABLE TO YOU FOR: LOST PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR EXPENSES FOR LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, OR THE PURCHASE OF SUBSTITUTE GOODS OR SERVICES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, WHETHER OR NOT IPO WALLET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY ASSERTED, THAT ARISE OUT OF: (I) YOUR
8. Limitation of Liability.
IN NO EVENT WILL IPO WALLET BE LIABLE TO YOU FOR DAMAGES ARISING OUT OF THE SERVICES IN EXCESS OF 8 DOLLARS.
9. Indemnification
You agree to indemnify IPO WALLET for any claims, damages, losses or legal fees incurred as a result of your use (or misuse) of the IPO Wallet. In the event of any proceedings of any form, IPO WALLET will be obliged to return anything claimed or recovered in full to IPO WALLET. IPO WALLET reserves the right to refuse to receive what has been transferred and also has the right to claim compensation.
10. Waiver of Rights
No act or omission on the part of IPO Wallet shall be deemed to be a waiver of any rights or obligations on the part of IPO Wallet.
11. Making Changes
IPO Wallet may modify this Agreement by giving you 30 days' notice of any proposed changes. If you do not agree to the modified terms, your sole remedy is to discontinue using the Site Services.
12. Assignment
You may not assign this agreement. IPO Wallet may assign this agreement on 11 days' notice.
13. Termination of Services.
We may, in our sole discretion and at no cost to you, with or without notice to you, and at any time, modify or discontinue, temporarily or permanently, any part of our Services. You are responsible for storing your 18-word backup phrase outside of the Software. Storing the backup phrase and the private key pairs associated with your IPO Wallet will allow you to access the blockchain and your funds anywhere and anytime. This backup will allow you to fully restore your IPO Wallet at any time without cost or loss of virtual currency.
IPO Wallet is not responsible for the loss of Virtual Currency in the event that we discontinue or devalue the Services.
14. Entire Agreement
This agreement constitutes the entire agreement between the parties and supersedes any other agreements, representations (or misrepresentations) or understandings however conveyed.
